Public offer agreement

This is a translation provided for convenience. The legally binding text is the Russian version; in case of any discrepancy it prevails.

This document is a public offer under Article 437(2) of the Civil Code of the Russian Federation and contains all essential terms of the agreement on granting the right to use additional digital materials of the Mewmori application.

Seller: Maksim Vladimirovich Grishutin, TIN 325403525219, applying the special tax regime "Professional Income Tax" (the "Seller").

1. Definitions

2. Subject of the agreement

2.1. The Seller grants the Buyer a simple (non-exclusive) right to use the Item within the Application, and the Buyer pays for it in the amount and manner set out in this offer.

2.2. The right of use is granted worldwide, perpetually, with no limit on the number of devices owned by the Buyer.

2.3. Exclusive rights to the Application and the Item belong to the Seller and are not transferred to the Buyer. The Buyer may not distribute, resell or pass the Licence key to third parties, nor modify or decompile the Item.

3. Acceptance

3.1. Payment for the selected Item constitutes acceptance of this offer. The agreement is concluded on the terms of this offer at the moment payment is received.

3.2. By accepting, the Buyer confirms having read and agreed to this offer, the Privacy Policy, the payment and delivery terms and the refund terms.

3.3. The Seller may amend this offer. A new version takes effect once published on the Website and does not apply to agreements concluded earlier.

4. Price and payment

4.1. Prices are listed on the Website's pricing page and in the Application, in Russian rubles, including all taxes. VAT is not charged, as the Seller applies the "Professional Income Tax" special regime.

4.2. Payment is made once, by non-cash means, through the Robokassa payment service: by bank card or via the Faster Payments System. Buyers outside the Russian Federation may pay with Telegram Stars.

4.3. The Buyer's payment obligation is deemed fulfilled once the payment service confirms a successful payment.

4.4. The Buyer's card details are entered on the payment service's secure page; they are not transferred to and not stored by the Seller.

4.5. The Seller issues a fiscal receipt through the "Moy Nalog" service and sends it to the email address given at checkout.

5. Delivery of the Item

5.1. The Item is delivered electronically — by issuing a Licence key — immediately after payment is confirmed and in any case within 24 hours.

5.2. The Licence key is shown on the page that opens after payment and is duplicated by email to the address supplied by the Buyer.

5.3. The Seller's obligation is deemed fulfilled at the moment the Licence key is provided.

5.4. The Buyer must supply a correct email address. The Seller is not liable for failed delivery to a mistyped address; in that case the key is re-issued upon request.

5.5. The Licence key is cumulative: it contains every Item previously purchased by the Buyer and can be restored by email address at any time.

6. Refunds

6.1. The Item has no physical form and is delivered immediately, therefore the right to withdraw from goods of proper quality under Article 26.1 of the Russian Law "On Protection of Consumer Rights" does not apply to it.

6.2. The Seller refunds payments in the cases, manner and timeframes set out on the refunds and cancellations page, which forms an integral part of this offer.

7. Liability

7.1. The Item is provided "as is". The Seller does not warrant that the Application and the Item will work without errors on every hardware configuration.

7.2. The Seller's liability under this agreement is limited to the amount actually paid by the Buyer for the Item.

7.3. The parties are released from liability for non-performance caused by force majeure, including failures of payment systems, communication networks and hosting services.

8. Personal data

8.1. By accepting this offer, the Buyer consents to the processing of their email address to the extent and for the purposes set out in the Privacy Policy.

9. Governing law and disputes

9.1. This agreement is governed by the law of the Russian Federation.

9.2. The parties shall resolve disputes through negotiation. A claim is sent to the Seller's email address and is reviewed within 10 business days.

9.3. Failing agreement, the dispute is referred to court in accordance with the legislation of the Russian Federation.
